Roman Shield is governed by a Board of Directors composed of 5–15 members (targeting 9) who bring expertise in finance, law, healthcare, autism services, fundraising, marketing, and community engagement.
Board members serve 3-year terms with a maximum of two consecutive terms (6 years). This ensures fresh perspectives while maintaining institutional knowledge.
Every board member upholds three core fiduciary duties:
Meetings: Quarterly (2–3 hours each)
Committee service: At least 1 standing committee
Financial contribution: $500–$2,500 annually
Board giving: 100% participation expected
Time: 20–30 hours per year
Committees provide focused oversight and drive organizational effectiveness.
Monthly meetings. Oversees budgets, financial reporting, investment of trust assets, audit coordination, and fiscal responsibility. Chaired by the Treasurer.
Quarterly meetings. Board recruitment, orientation, evaluation, bylaws review, conflict of interest policy, and organizational compliance.
Quarterly meetings. Oversees the seven pillars of support, beneficiary outcomes, service quality, and program development and evaluation.
Monthly meetings. Fundraising strategy, donor relations, grant applications, corporate partnerships, and special events planning.
